Experiences

Domestic and International Commercial Arbitration/ Mediation & Negotiation

–  D&M has been involved in various domestic and international commercial arbitrations some involving the energy/power sector.

– The Managing Partner was the lead counsel for the FGN/BPE in an UNCITRAL arbitration on a $137Million claim in a telecom sector transaction involving $1.37 Billion.

– The Managing Partner of the law firm sat as Co-Arbitrator in a complex commercial Arbitration involving Shell and the Nigerian National Petroleum Corporation (NNPC) in a Claim of over $3Billion.

– He is also currently Lead Arbitrator in a dispute involving the recently privatized Abuja Electricity Distribution Company (AEDC) and a payment services provider.

– We have acted as counsel to INEC in a commercial arbitration relating to the major procurement worth over in excess of N1 Billion.

– We were solicitors representing the Kano State Government in the negotiation relating to the privatization of the Kano Electricity Distribution Company.

– In the Pzifer Trovan Clinical Trial carried out in Kano State Nigeria, we act as counsel to the Kano State Government in the Negotiation and Meditation in the settlement of affected individual in the clinical trial.In addition to these, also currently involved in a commercial arbitration relating to commercial property and shareholding/company structure in a PPP infrastructure project.

Civil and Criminal Litigation

– D&M handles complex litigation for clients ranging from individuals, corporate bodies, to government entities. We are currently engaged in disputes involving:

– Bureau of Public Enterprises (BPE) and the ongoing issues revolving around proceeds from the recent privatization of the Nigerian power sector.

– We represent the Kano State Government in the dispute relating to the privatization of the Kano Electricity Distribution Company.

– We were one of the counsel of Independent National Electoral Commission (INEC) represented INEC in Election Petitions, the Constitutional Tenure of office of the Governors of a State amongst other matters.

–  Acting as counsel to the Nigerian Deposit Insurance Commission (NDIC), we have handled Winding-Up petitions amongst other civil matters.

– The Central Bank of Nigeria (CBN) has also engaged us in the prosecution of the former bank executives,

– The National Assembly had engaged us to represent it in court to interpret the roles and functions of the different Arms of Government.

– The Economic and Financial Crimes Commission (EFCC) an action for the interpretation of the Commission’s powers vis a vis the Constitution of the Federal Republic of Nigeria.

– APT Bureau de Change and issues surrounding the unjust enrichment of a former business partner.

– Viva Plastics Industries Limited, a subsidiary of a Chinese conglomerate, currently embroiled in a dispute over an industrial tract of land.

– Rosehill Group and its ongoing dispute with BGL Securities over the conduct of BGL as a broker dealer.

Advisory & Other Services

– In the power sector, we acted as solicitors to Axis Power Distribution Limited one of the pre-qualified companies to bid for the Kaduna Distribution Company. Also, we advised the Bureau of Public Enterprises (BPE) on the Enron Power Project in Lagos reviewing the power purchase agreement and other transaction documents.

– We negotiated and structured (and drafted all contracts) a Strategic Alliance between Avasant LLC a California based Business Processing Outsourcing and Information Technology company with a Nigerian Start- up Technology Company CapeSource Technologies Ltd.

– We acted as lead advisors, negotiated and structured a major acquisition by a Chinese Foreign Company of a major Tanning Company in Northern Nigeria with a turnover of nearly N50Billion.

– Advisers to the Central Bank of Nigeria (CBN) on revenue due to the Federal Government of Nigeria under the Production Sharing Contracts (PSCs) in the oil industry.

– We advised the National Pension Commission (PenCom) on the retirement and rotation of Board members.

– We were joint solicitors to the issuer in the Assets Management Corporation of Nigeria (AMCON) 1.7 Trillion Zero Coupon Bonds;

– We advised Lafarge AshakaCem Plc on corporate governance matters involving the constitution of the company’s Board of Directors.

– We advised and drafted agreements on behalf of a local company engaged in a public private partnership in the Republic of Niger.

– We advised the Central Bank of Nigeria on the transfer of NNPC’s interest to Nigerian Petroleum Dev. Co.

– We advised the Pension Commission on Corporate Governance issues.

– We advised Legacy Pensions Ltd’s shareholders in a transfer of shares transaction.

– We advised Sussex Farms Limited in its Merger with Bronco Farms Ltd.

– We advised the Board of the Nigeria Deposit Insurance Corporation (NDIC) on the legality of proposed payment of gratuity.

– We advised Yar’dua Foundation on the structuring of the Foundation and employment matters.

– As solicitors to the Independent National Electoral Commission (INEC), we constantly advise the Commission regarding the conduct of elections and other matters relating to its affairs.
